Terms of Service

1. Who you are agreeing with

AssetLink is operated by Bucket 6 Inc., a registered trade name of Orange Chair Corporation, a corporation with its business address at 117 Logan Avenue, Geneva, Illinois 60134 ("we", "us", "our").

By creating an account, or by using AssetLink on behalf of an organisation, you agree to these Terms. If you are agreeing on behalf of a municipality, township, district or other entity, you confirm you are authorised to bind that entity, and "you" means that entity.

If your organisation and we sign a separate written agreement covering AssetLink, that agreement governs where it conflicts with these Terms.

2. What the service is

AssetLink is a hosted record-keeping system for public infrastructure. It lets you record the assets your organisation is responsible for — signs, water distribution, sewer and storm drainage, and road work — together with their attributes, their location, inspections carried out on them, work orders against them, and photographs.

It is sold as four separate products (Roads, Signs, Water, Sewer & Storm). Your subscription determines which of them your organisation can use.

3. What the service is not

This section matters more than the rest of the document. Please read it.

AssetLink is a record of what you told it. The location, material, size, depth, age and condition of every asset in your account is data your organisation entered, imported, or drew on a map. We do not survey, verify, inspect or independently confirm any of it. Where a record is wrong, it is wrong because the source was wrong, and the software will display it with exactly the same confidence as a correct one.

AssetLink is not a substitute for engineering judgment. Nothing in it is a design, a certification, a regulatory determination or professional advice. Decisions about replacement, capacity, compliance or public safety are yours and your engineer's to make.

AssetLink does not determine regulatory compliance. The Signs product holds MUTCD codes, sheeting types and retroreflectivity readings you record, and reports on them against values you configure. That is a management tool. It is not a finding that your signs comply with the MUTCD or with any state supplement, and no report it produces should be represented as one.

Road extents are visual records, not measurements. Shapes drawn on the map record where work happened. They are not a source of quantities, and the product deliberately does not derive lengths, areas or tonnages from them.

4. Accounts

You are responsible for the accounts in your organisation, for who holds them, and for what those people do. Tell us promptly if you believe an account has been compromised.

Roles within your organisation (administrator, supervisor, crew chief) are yours to assign. We do not police them for you.

5. Buried utilities, excavation, and safety

AssetLink must never be used to determine whether it is safe to dig.

The Water and Sewer & Storm products display the approximate location of buried infrastructure as recorded by your organisation. Those locations are not survey-grade, are frequently inherited from paper records of unknown vintage, and may be wrong in position, depth, or existence. Other utilities — electric, gas, communications, and anything owned by someone other than you — are not in the system at all.

Before any excavation, you must contact your state one-call notification service (811 in the United States) and obtain a proper locate, exactly as you would if AssetLink did not exist. No map, report, or export from AssetLink discharges that obligation, and we accept no liability for damage, injury or death arising from excavation carried out in reliance on it.

6. Trial

New accounts get a seven-day trial with the full product. No payment method is required to start a trial, and nothing is charged automatically at the end of one. When the trial ends, access to your data closes until a subscription is purchased. Your data is not deleted — see §12.

7. Subscriptions, billing, and cancellation

Subscriptions are per product, monthly or annually, at the prices published at assetlink.us/pricing. Where more than one product is held, a multi-product discount is applied to the whole subscription.

Card payments are processed by Stripe; we never see or store your card details. We can also invoice annually against a purchase order — see §8.

Monthly subscriptions renew monthly and annual subscriptions renew annually until cancelled. You may cancel at any time, and cancellation takes effect at the end of the period you have already paid for. Refunds are governed by our Refund Policy.

We may change prices. An existing subscription keeps its price until its next renewal, and we will give at least 30 days' notice before a renewal at a changed price.

8. Public procurement

We understand that a purchase by a public body may need to run through a process that a checkout page does not accommodate. On request we will provide a quotation on letterhead, a completed W-9, and an annual invoice payable against a purchase order, and we will accept payment by cheque or ACH.

Where your organisation's procurement rules require specific contract terms, tell us. We would rather negotiate a term than have you sign something your attorney should not have approved.

9. Your data, and public records

Your data is yours. The assets, inspections, work orders, photographs and notes your organisation puts into AssetLink belong to your organisation. We claim no ownership of them and do not assert that they are our confidential information or trade secrets.

We process that data only to provide the service to you, and we do not sell it, license it, or use it to build products for anyone else.

Public records. We recognise that records held in AssetLink on behalf of a public body may themselves be public records under your state's freedom of information or public records act, and that your organisation, not we, is the records custodian. Nothing in these Terms restricts your ability to disclose your own data in response to a records request, a subpoena, an audit, or a statutory retention obligation. If you need an export in order to respond to one, ask and we will help.

Aggregate and anonymised use. We may use aggregated, de-identified information about how the service is used — for example, that a given feature is used often — to operate and improve it. This never includes your asset data or anything identifying your organisation.

10. Acceptable use

Do not use AssetLink to break the law, to store material you have no right to store, to attempt to access another organisation's data, to probe or attack the service, or to resell access to it.

We may suspend an account that is causing damage to the service or to other users, and we will tell you why.

11. Availability

We aim to keep AssetLink available and we host it on infrastructure built for that, but we do not offer a contractual uptime guarantee at these prices. If your organisation needs one, talk to us before purchasing rather than after.

Maintenance that we expect to be disruptive will be notified in advance where we can.

12. Termination and data retention

You may stop at any time. We may terminate for non-payment, or for a breach of §10 that is not corrected after notice.

When access ends, your data is retained, not deleted. This is deliberate, and it is different from what most software does. Public bodies are frequently subject to statutory records retention schedules, and a vendor that automatically destroyed municipal records after a fixed period could put your organisation in breach of one.

You can export your data to CSV at any time while you have access. After access ends, ask us and we will produce an export for you.

Deletion happens when you ask for it. If your organisation wants its data permanently deleted, tell us and we will delete it and confirm when it is done. We do not do this on our own initiative, precisely because of the retention point above.

13. Accessibility

We build AssetLink against the WCAG 2.1 Level AA guidelines, and accessibility defects are treated as defects rather than as feature requests.

We do not currently publish a VPAT or claim formal Section 508 conformance. Saying otherwise would be easy and untrue. If your organisation requires an accessibility conformance report as a condition of purchase, contact us and we will tell you honestly where we stand and what we can commit to.

14. Disclaimers and limitation of liability

The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, our total liability arising out of or relating to AssetLink is limited to the amount your organisation paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data, or costs of substitute services.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.

Where your organisation is a public body whose governing law restricts its ability to agree to indemnification, limitations of liability, or a particular venue, those restrictions control to the extent of the conflict, and the rest of these Terms continue to apply.

15. Changes to these Terms

We may update these Terms. If a change materially reduces your rights we will give notice by email or in the product before it takes effect. Continuing to use AssetLink after that is acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules, and the courts of Kane County, Illinois have jurisdiction — except where your organisation is a public body whose governing law requires a different forum or different governing law, in which case §14 applies and we will agree reasonable alternative terms in writing.
